Acceptance of Terms

By accessing or using the LICOFY platform, including the marketplace, the portal, hosted instances, the licencing API, and related documentation, you agree to be bound by these Terms of Service and by our Privacy Policy. If you use the platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these terms, you must not use the platform.

Your Account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it current through your profile settings. You may not access the platform through another user account, and you may not use the service in a way that breaches the rights of others or the security of the platform.

Marketplace & Purchases

The marketplace is a venue that enables sellers to list software products and buyers to purchase them. Licences are granted by the corresponding seller in accordance with the edition and plan you select; LICOFY acts as the marketplace operator and not as a party to the licencing agreement between buyer and seller except where LICOFY itself is the seller. Prices are set by sellers and shown with currency conversion at checkout. Upon confirmed payment, your licence is created and is accessible immediately in the portal.

Licences & Usage

Purchasing a product grants you a limited, non-exclusive licence to use the software in accordance with the plan you selected, for example one-time, lifetime, monthly, or annual hosting. You may not resell, redistribute, sublicense, or otherwise make the product available to third parties without the seller written consent. Where a product is delivered as source, you may modify it for your own use but may not share modified versions publicly as paid products without a separate reseller agreement.

Hosted Services

Hosted plans provide managed access to a running instance on LICOFY infrastructure. Your access is bound by the billing term you select and the applicable usage limits described on the product page. You are responsible for the content you store and the configuration choices you make in your instance, and you must not use hosted services for unlawful activity, spam, or infringement of third-party rights. LICOFY may suspend an instance temporarily for security reasons or for non-payment, with notice where feasible.

Payments & Refunds

All purchases are subject to the payment terms of your selected plan. Subscriptions renew automatically unless cancelled before the renewal date in your billing settings. Refunds are managed between buyer, seller, and platform support as described in the FAQ and applicable law. Platform fees are disclosed to sellers in the seller dashboard and are deducted before payout.

Prohibited Conduct

You may not use the platform to list or distribute malware, counterfeit goods, or content that infringes intellectual property; attempt to gain unauthorised access to systems or accounts; scrape, resell, or commercially exploit data from the platform without permission; harass, abuse, or defraud other users; or interfere with the operation of the service. We may suspend accounts engaged in prohibited conduct, in addition to any other legal remedies available.

Intellectual Property

The platform itself, including its software, design, and branding, is owned by LICOFY and its licensors. Product listings and their associated content are owned by the applicable sellers. Nothing in these terms grants you any rights to the platform underlying source code, trademarks, or other intellectual property beyond the licence granted for your purchases.

Limitation of Liability

To the fullest extent permitted by law, LICOFY is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the platform or of any product purchased through it. Our aggregate liability for any claim is limited to the amounts actually paid by you to LICOFY in the twelve months preceding the claim. This section does not limit liability where it cannot lawfully be limited.

Indemnification

You agree to indemnify and hold LICOFY, its affiliates, officers, and employees harmless from claims, damages, and reasonable costs arising out of your use of the platform, your violation of these terms, or your infringement of any third-party rights.

Dispute Resolution

These terms are governed by the laws applicable to LICOFY principal place of business, without regard to conflict-of-laws principles. Disputes will first be addressed through our support process; where a dispute cannot be resolved amicably, it will be resolved in the competent courts of that jurisdiction, and both parties consent to that jurisdiction.

Changes to the Terms

We may update these terms as the platform evolves. Material changes will be announced through the platform and take effect on the date indicated in the announcement. Continued use after a change takes effect constitutes acceptance. The current version is always available at this page.
