End User License Agreement

This End User License Agreement (the "Agreement") is a legal agreement between you (either an individual or an entity) and the seller of a product purchased through LICOFY (or LICOFY itself where applicable) concerning the licensed software product you have purchased. By purchasing, downloading, installing, or using a product, you agree to be bound by this Agreement and by the LICOFY Terms of Service.

1. License Grant

Upon confirmed purchase, the seller grants you a non-exclusive, non-transferable, revocable license to install and use the product for the purpose and term stated in your order, in accordance with the applicable edition and plan. A self-hosted licence includes the right to install and run the software on the domain you activate and to receive published updates according to the product update policy. A hosted licence includes the right to access and use a managed instance provisioned for you for the duration of your subscription, together with the maintenance and updates provided under that plan.

2. Permitted Use

You may use the product for your own lawful business or personal operations. You may modify a self-hosted product for your own internal use, provided you keep all notices of proprietary rights intact. You may use your hosted instance in the manner described on the product page and in the documentation, subject to applicable usage limits.

3. Restrictions

You may not resell, sublicense, redistribute, or otherwise make the product or its source code available to any third party without a separate written reseller agreement. You may not reverse engineer, decompile, or attempt to derive the source code of hosted services beyond what is documented, and you may not remove, alter, or obscure any proprietary notices. You may not use the product to create a competing marketplace product, nor use it for unlawful, harmful, or infringing purposes.

4. Support and Updates

Support and updates are provided as described in your plan and the product listing. Hosted plans include monitoring, backups, and automatic updates as part of the managed service. Self-hosted plans include the version published at the time of purchase; whether subsequent versions are included is governed by the product update policy, which is displayed on the product page.

5. Warranties and Disclaimer

Products are provided "as is" and "as available" without warranty of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. The seller and LICOFY do not warrant that the product will be uninterrupted, error-free, or completely secure, and you assume responsibility for the results obtained from using the product and for your choice to deploy it in your environment.

6. Limitation of Liability

In no event shall the seller or LICOFY be liable under any theory of law for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or relating to this Agreement or your use of the product, even if advised of the possibility of such damages. The total liability of the seller and LICOFY for any claim is limited to the amount you actually paid for the product. Where liability cannot lawfully be excluded, it is limited to the fullest extent permitted by applicable law.

7. Termination

If you breach this Agreement, the licence granted to you terminates automatically. Hosted subscriptions terminate at the end of the billing period unless renewed; upon termination for breach, your access to hosted services ends immediately. Upon termination you must cease all use of the product and, for self-hosted products, destroy all copies in your possession.

8. Governing Law

This Agreement is governed by the laws applicable to LICOFY principal place of business, without regard to conflict-of-laws principles, and any disputes are subject to the dispute resolution section of the LICOFY Terms of Service.
